Smart Bidd is a B2B procurement and competitive bidding platform operated by Blueorbit Corporation Private Limited. These Terms of Service govern your access to and use of the Smart Bidd platform, website and related services (collectively, the "Platform").
1. The Platform
Smart Bidd is a marketplace/platform that facilitates procurement transactions between registered business Buyers and verified business Sellers. The core workflow is: a Buyer posts a Requirement → eligible Sellers discover the Requirement → Sellers submit Bids → the Buyer compares Bids → the Buyer accepts a Seller → an Order is created → the Buyer provides a delivery address → the Buyer selects Prepaid or COD → payment or advance is processed → the Seller fulfils the Order → a Logistics Partner is assigned → the product is delivered → the Seller payout is processed → the Smart Bidd commission is deducted. Unless a specific transaction states otherwise, Smart Bidd acts solely as a facilitator and is not the buyer or seller of the products traded on the Platform.
2. Account Registration
You must register for an account to use the Platform, providing accurate business and contact information including your legal/business name, mobile number, email, PAN, GSTIN and business address. Mobile/email verification (OTP) is required. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
3. Buyer Accounts
Buyers may post product Requirements, receive and compare Bids, chat with Sellers, accept Bids, place Orders, pay online (Prepaid) or choose Cash on Delivery (COD), track deliveries, download invoices, review Sellers and raise disputes. New Buyer accounts include 5 free Requirements; continued usage may require a paid subscription as displayed on the Platform.
4. Seller Accounts
Sellers may view Requirements only in product categories approved for them by Smart Bidd, submit and revise Bids while bidding is open, chat with Buyers, fulfil accepted Orders, and receive payouts after delivery. New Seller accounts include 3 free Bids; continued bidding may require a paid subscription as displayed on the Platform.
5. Logistics Partners
Logistics Partners are independent businesses onboarded and approved by Smart Bidd. They may view only Orders assigned to them, update shipment status, add tracking numbers, upload pickup/delivery proof and collect COD amounts where applicable.
6. KYC and Verification
Buyers, Sellers and Logistics Partners must complete KYC/business verification by submitting documents such as PAN, GST certificate, business registration and address/bank proof. Smart Bidd may approve, reject or request additional information. Platform access to trade may be restricted until KYC is approved.
7. Seller Category Approval
Sellers select product categories at registration. Smart Bidd approves categories per Seller. Sellers can only discover and bid on Requirements belonging to their approved categories. This restriction is enforced across the Platform.
8. Requirements, Bids and Acceptance
A Requirement is a buy-side request (RFQ) describing product, quantity, specifications, delivery and commercial preferences. A Bid is a Seller's binding commercial offer against a Requirement, including price and delivery time. Sellers may edit Bids while bidding is open; a full bid history is retained. When a Buyer accepts a Bid, an Order is created. AI-assisted recommendations (including Smart Bid Score) are advisory only — the final selection always rests with the Buyer.
9. Orders and Payments
Orders are created from accepted Bids and include product value, platform fee, logistics charges and applicable taxes, all calculated by Smart Bidd's servers. Payments are processed through third-party payment gateways supporting UPI, cards, net banking and wallets. Smart Bidd does not store complete card information. Payment confirmations are verified server-side before an Order is confirmed.
10. Cash on Delivery (COD)
Where COD is available, the Buyer must pay 20% of the applicable Order value as an advance online. The remaining amount is collected at delivery through the configured COD process. The advance is applied to the Order total.
11. Platform Fee
Smart Bidd charges Buyers a platform fee of 0.5% of the applicable Order value OR ₹499, whichever is higher (Platform Fee = MAX(Order Value × 0.5%, ₹499)). GST at 18% is charged on Smart Bidd's own service charges (platform fee, logistics charges, subscriptions and seller commission); Smart Bidd does not charge GST on the product order value itself. Applicable fees, pricing and taxes may change in accordance with Platform policies and applicable law; current values are shown before payment.
12. Seller Commission and Payouts
Smart Bidd charges Sellers a commission of 5% of the applicable Order value, plus GST at 18% on the commission amount, deducted automatically from the Seller payout. Seller payouts are released after successful delivery, subject to applicable refunds, adjustments, holds (including dispute holds) and other legitimate deductions.
13. Logistics
For applicable Orders below ₹5,000 in value, the Buyer pays logistics charges of ₹15 per product; other Orders may be eligible for included logistics as displayed at checkout. Delivery is performed by assigned Logistics Partners with tracking and delivery proof.
14. Subscriptions
Smart Bidd offers Free, Starter, Professional, Business and Enterprise subscription plans with usage limits and durations configured by Smart Bidd. Current pricing is displayed on the Platform. Subscriptions may renew automatically unless cancelled, and are governed by the Subscription & Billing Policy.
15. AI Services
The Platform includes AI-powered features (requirement assistance, seller matching, Smart Bid Score, the Smart Bidd AI Assistant chatbot and fraud-risk signals). AI output is advisory, may be reviewed and edited before use, and never independently performs commercial, financial or administrative actions. See the AI Usage Policy.
16. Chat and Human Support
Buyers and Sellers may communicate through requirement-linked chat. Users may escalate from the AI Assistant to human support; support tickets may include user, order and conversation context to help agents resolve issues faster.
17. Reviews and User Content
Buyers may review Sellers after delivery. You retain ownership of content you submit (requirements, images, documents, messages, reviews) but grant Smart Bidd a non-exclusive licence to host, process and display it to operate the Platform. You must not submit unlawful, misleading or infringing content.
18. Intellectual Property
The Platform, including the Smart Bidd name, logo, design, software and content (excluding user content), is the property of Blueorbit Corporation Private Limited and protected by applicable intellectual-property laws. No rights are granted except as needed to use the Platform.
19. Prohibited Activities
You must not: post false or misleading requirements or bids; trade prohibited or illegal goods; manipulate bids, prices or reviews; create duplicate or fraudulent accounts; circumvent fees, KYC or category restrictions; misuse payments or COD; scrape or attack the Platform; or violate any applicable law.
20. Suspension and Termination
Smart Bidd may suspend or block accounts for policy violations, fraud risk, non-payment, KYC failure or legal requirements, with notice where practicable. You may stop using the Platform at any time; outstanding obligations (payments, deliveries, disputes) survive termination.
21. Disputes and Grievance Redressal
Order disputes (non-delivery, wrong/damaged product, quantity or quality issues, payment problems) are handled through the Platform's dispute workflow and the Refund & Cancellation Policy. Complaints may be escalated per the Grievance Redressal Policy by writing to support@smartbidd.com.
22. Third-Party Services
The Platform relies on third-party services including payment gateways, cloud hosting and AI providers. Their terms and privacy policies apply to their services. Smart Bidd is not liable for third-party failures beyond its reasonable control.
23. Limitation of Liability
To the maximum extent permitted by law, Smart Bidd's liability for any claim arising from the Platform is limited to the fees paid by you to Smart Bidd for the transaction giving rise to the claim. Smart Bidd is not liable for indirect, consequential or lost-profit damages, or for product quality, which remains the Seller's responsibility.
24. Applicable Law
These Terms are governed by the laws of India. Courts at Bengaluru, Karnataka shall have exclusive jurisdiction, subject to applicable law.
25. Privacy
Your use of the Platform is also governed by the Smart Bidd Privacy Policy.
26. Changes
Smart Bidd may update these Terms from time to time. Material changes will be notified on the Platform. Continued use after changes constitutes acceptance.
